Terms of Service
These terms apply to all services Alpincode provides to business clients and to the use of this website. Some entity details are still being finalised; see the Legal Notice.
Last updated:
1.Scope
These terms apply to every quote, order and project between Alpincode and a client. Different terms apply only if they are agreed in writing.
Alpincode works only with businesses, including sole traders and freelancers acting for their business. By placing an order, the client confirms that it is acting for business purposes.
2.Services
Alpincode provides software and digital services, including internal business software, web and mobile apps (Flutter, FlutterFlow), websites and landing pages, automations, AI consulting, backends, and related implementation and support. The exact scope of each project is set out in the quote.
3.Quotes and contract
Each project starts with a written quote describing scope, deliverables, timeline and price. A contract is formed when the client accepts the quote in writing, for example by email or signature.
Changes to the scope are agreed in writing and may change the price and the timeline.
4.Prices
Prices on the website are indicative starting prices. The price in the accepted quote applies. Alpincode is not registered for Swiss VAT, so no VAT is charged. If this changes, the client will be informed before the next invoice.
5.Payment
Unless the quote says otherwise, 50% of the project price is invoiced when the quote is accepted and 50% on delivery. Larger projects may be split into milestones, each invoiced when it is approved. Recurring services are invoiced in advance for each period.
Invoices are due within 14 days. If an invoice is overdue, Alpincode may pause the work after a written reminder, and default interest applies under Swiss law.
6.Client cooperation
The client provides the content, access, accounts and feedback needed for the project in good time, and holds the rights to any material it supplies. Delays caused by missing input may move the timeline.
7.Delivery and acceptance
Alpincode delivers the work as described in the quote. The client reviews it within 10 working days and reports any defects in writing. The work counts as accepted when this period ends without a report of defects, or when the client starts using it in live operation.
8.Revisions and changes
The quote states how many revision rounds are included. Further changes and new features are quoted separately.
9.Intellectual property
Once the project is paid in full, the client owns the rights to the custom work created for it, including source code and designs.
Alpincode keeps its pre-existing tools, know-how and reusable components, and grants the client a permanent, non-exclusive licence to use them as part of the delivered work. Open-source and third-party components remain under their own licences.
10.Accounts, hosting and third-party services
Domains, hosting, app store and software accounts are set up in the client's name wherever possible. The client pays the fees of third-party services, such as hosting, app stores, APIs or AI providers, unless the quote says otherwise. Alpincode is not responsible for outages, price changes or policy changes of third-party services.
11.Warranty
For 30 days after delivery, Alpincode fixes free of charge any defect where the delivered work does not work as agreed in the quote.
The warranty does not cover new features, changes requested after delivery, problems caused by changes made by the client or third parties, or failures of third-party services. Ongoing maintenance is available as a separate plan.
12.Liability
Alpincode is liable for damage caused intentionally or through gross negligence. In all other cases, and as far as the law allows, liability is limited to the amount paid for the project concerned. Alpincode is not liable for indirect damage, lost profit or lost data. The client is responsible for regular backups of its data.
13.Confidentiality and data protection
Both parties keep confidential information about the other party confidential, during and after the project. When Alpincode processes personal data on behalf of the client, the parties sign a data processing agreement.
Alpincode does not enter the client's confidential data into AI tools without the client's permission. The Privacy Policy explains how this website handles personal data.
14.Portfolio
Alpincode names the client or shows the work in its portfolio only with the client's written permission.
15.Cancellation
The client can cancel a project at any time in writing. The client then pays for the work done up to the cancellation date, at the agreed rates or pro rata, plus third-party costs already incurred. Any amount paid above that is refunded.
Recurring services can be cancelled at the end of each billing period.
16.Projects through marketplaces
Projects booked through a freelance marketplace such as Upwork or Fiverr follow that platform's terms for payment, refunds and disputes. These terms apply where the platform's terms leave room for them.
17.Governing law and jurisdiction
These terms and all contracts are governed by Swiss law, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG). The courts at the place of business of Alpincode's owner in Switzerland have exclusive jurisdiction.
18.Changes to these terms
Alpincode may update these terms. The version in force when a quote is accepted applies to that project.
